Commercial License

This Commercial License Agreement (the "License") is between Zxro, India (the "Licensor") and the person or organisation that buys myrestos (the "Licensee", "you"). The source code, documentation and other files you receive (the "Software") are licensed, not sold. This is a commercial license, not an open-source license; the Software is not distributed under MIT, Apache, GPL or any similar license. A copy of this License is included as the LICENSE file in your download. Our Terms of Service also apply.

1. Definitions

• Brand: one product or service name and identity under which you offer the Software to the public, such as one name, logo and primary domain.
• Deployment: a running instance of the Software, including its staging and test copies, operated by you under one Brand.
• End Customers: your own customers who use your Deployment, such as restaurants, their staff and their diners.

2. What you may do

Once you have paid in full, and as long as you comply with this License, the Licensor grants you a perpetual, worldwide, non-exclusive, non-transferable license to:

• use, copy, modify and deploy the Software for one (1) Brand;
• offer your Deployment to an unlimited number of End Customers, and charge them for it;
• rebrand the Software, add or remove features and integrate it with other systems, for use within that one Brand;
• let your employees and contractors work on the Software for you, provided they are bound by confidentiality and use it only for your Brand. You are responsible for what they do with it.

Each purchase covers exactly one Brand. Running a second, separately branded product or service on the Software (for example for a client, another city or a different market) requires one additional license per Brand.

3. What you may not do

• Resell, sublicense, redistribute, publish, share or otherwise make the source code available to any third party, in original or modified form, paid or free. This includes public code repositories.
• Use the Software to build a product that is itself sold or distributed as a codebase, template, boilerplate, starter kit or white-label package.
• Give End Customers access to the source code. End Customers use your service; they are not licensees of the Software.
• Remove or alter this License or copyright notices, or claim to be the original author of the Software.
• Use the Software in any way that breaks the law.

4. Ownership

The Licensor keeps all rights, title and interest in the Software, including all intellectual property rights, except the rights expressly granted to you in Section 2. You own the modifications you write yourself, but they remain subject to this License because they include the Software. Open-source components in the Software are covered by their own licenses, which take precedence for those components.

5. Transfer

You may not transfer this License, except to a buyer of the whole business or Brand that uses it, with the Licensor's prior written consent (which won't be unreasonably refused). The new owner must accept this License, and you must then delete your copies.

6. Support and updates

Unless separately agreed in writing, this License doesn't include ongoing support, maintenance or future versions. Any support or updates provided are at the Licensor's discretion.

7. No warranty

To the extent permitted by law, the Software is provided "as is", without warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. The Licensor does not guarantee that the Software will be error-free or uninterrupted, and is not responsible for third-party services the Software relies on (such as Supabase or Vercel).

8. Limitation of liability

To the extent permitted by law, the Licensor is not liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue or data, arising from your use of the Software, even if advised of the possibility. The Licensor's total liability under this License is limited to the amount you paid for it. Nothing here limits liability that cannot be limited by law.

9. Termination

This License ends automatically if you breach it, in particular Section 3, or if your payment is refunded or reversed (including through a chargeback). When it ends, you must stop using the Software and destroy all copies of the source code in your possession. Termination for breach does not entitle you to a refund. Sections 4, 7, 8 and 10 survive termination.

10. Governing law

This License is governed by the laws of India, without regard to conflict-of-law rules. Disputes arising from it are subject to the exclusive jurisdiction of the courts of India, without affecting any mandatory consumer rights you have where you live.
